- By submitting an entry to the GE healthymagination Challenge, you are agreeing to be bound by the following legal terms..
- The GE healthymagination Challenge (the “Event”) is sponsored by General Electric Company (“GE”), 3135 Easton Parkway, Fairfield, CT 06828. Multiple entries are permitted. Each entry will be reviewed independently. Multiple individuals or entities may collaborate to submit a single entry, but a single individual must be designated as an official representative for each entry. Participation is subject to all federal, state and local laws and regulations. Void where prohibited or restricted by law. You are responsible for checking applicable laws and regulations in your jurisdiction before participating in the Event to make sure that your participation is legal. You are responsible for all taxes and reporting related to any award that you receive as part of the Event.
- ELIGIBILITY: The Event is open to all individuals over the age of 18 who have not been convicted of a felony or crime of moral turpitude and to all validly formed legal entities that have not declared or been declared in bankruptcy. Employees and contractors of General Electric Company and its affiliates or subsidiaries are not eligible to enter.
- HOW TO ENTER: To enter, complete the fields in the online submission form and attach a document with the details of your proposal (collectively your “Entry”) via the healthymagination Challenge Website at challenge.healthymagination.com (the “Event Website”).
The Event consists of multiple categories or sub-challenges (each being a “Sub-Challenge” in these legal terms) that will be released and updated at GE’s discretion. Each Entry will be considered for the specific Sub-Challenge to which it is submitted. Each Sub-Challenge will be announced on the Event Website with a description of the criteria (the “Judging Criteria”) for that Sub-Challenge and entry dates (the “Entry Period”) during which entries will be accepted for that Sub-Challenge.
All Entries must be in English.
You are encouraged to review the following information to increase the likelihood that your Entry will be favorably reviewed by the Committee and the Judges (as defined below): Each Entry:
(a) Must describe in reasonable detail a home technology that, in your good faith opinion, is innovative and original. If you have already filed a patent application or received a patent on any part of your Entry, please include that information
(b) Must describe the value proposition of the technology discussed in the Entry
(c) Must provide information about the individual innovators and/or business team, as appropriate, that created the technology discussed in the Entry
(d) Should describe your desired relationship with GE as regards the technology discussed in the Entry
(e) May propose the incorporation of GE technologies or expertise.
(f) Should, wherever feasible, include a photo or video of key individuals and, as applicable, pertinent background information about you and your company.
INTELLECTUAL PROPERTY RIGHTS: GE makes no claim to ownership of your Entry or any intellectual property that it may contain. You are not granting GE any rights to any patents or pending patent applications related to the technology described in your Entry. By submitting an Entry, you grant GE certain limited rights as set forth in these terms.
You grant to GE the right to review your Entry and to have the Judges and Committee (as defined below) and their designees review your Entry. You also grant to GE the right to post a reasonable amount of information describing your Entry, including the Short Description field of the online submission form and any photo or video that you submit, on the Event Website and you agree that visitors to the Event Website have the right to access that information in accordance with the Terms of Use of the Event Website.
By submitting an Entry, you consent to the use, by GE, its affiliates, subsidiaries, parents, and licensees, of your name, likeness, and image, in connection with the Event and GE’s healthymagination initiatives, in any media or format now known or hereafter invented, in any and all locations worldwide, without any payment to or further approval from you. You agree that this consent is perpetual and cannot be revoked. For uses beyond the consent that you grant above, you agree that GE’s use of your personal data will be governed by the Privacy Policy posted on the GE website.
You agree that nothing in these Rules grants you a right or license to use the GE name or any GE trademark or service mark. You grant to GE the right to include your company name (if your Entry is from a company) as an entrant on the Event Website and in materials related to GE’s promotion of the Event. Other than these uses, you are not granting GE any rights to your trademarks.
Likewise, nothing in this healthymagination Challenge competition requires you to negotiate or do business with GE. You are free to discuss your Entry and the ideas or technologies that it contains with other parties and you are free to contract with any third parties as long as you do not sign any agreement or undertake any obligations that conflict with any agreement that you have entered into or do enter into with GE regarding your Entry. For the purpose of clarity, you acknowledge that the intent of the healthymagination Challenge is to encourage people to suggest their ideas and innovations to GE. But participating in the Event does not create an obligation on either your part or GE’s part to enter into any further business relationship or to sign any commercial agreement.
- CONFIDENTIAL INFORMATION: Since GE does not wish to receive or hold any submitted materials “in confidence” it is agreed that, with respect to your Entry, no confidential relationship or obligation of secrecy is established between GE and you, the company you represent when submitting an Entry, or the owner of any part of your Entry. If your Entry is selected for further evaluation by the Committee (as defined below), GE may offer to sign a confidentiality agreement as part of further discussions about your Entry and the technology it describes.
- WARRANTIES: By submitting an Entry, you represent and warrant that all information you enter on the Event Website is true and complete to the best of your knowledge, that you have the right and authority to submit the Entry on your own behalf or on behalf of the persons and entities that you specify within the Entry, and that your Entry:
(a) is your own original work, or is used by permission with full and proper credit given within your Entry;
(b) does not contain confidential information or trade secrets (yours or anyone else’s);
(c) does not violate or infringe upon the patent rights, industrial design rights, copyrights, trademarks, rights of privacy, publicity or other intellectual property or other rights of any person or entity;
(d) does not contain malicious code, such as viruses, timebombs, cancelbots, worms, Trojan horses or other potentially harmful programs or other material or information;
(e) does not and will not violate any applicable law, statute, ordinance, rule or regulation; and
(f) does not trigger any reporting or royalty obligation to any third party.
- JUDGING: Two groups will concurrently evaluate all Entries received for each Sub-Challenge:
(a) An evaluation committee (the “Committee”) comprised of representatives of GE businesses and of investors that are supporting the GE healthymagination Challenge will evaluate Entries to determine whether GE or an investment partner wish to further investigate the possibility of a commercial relationship with the entrant;
(b) an independent judging panel (the “Judges”) comprised of GE executives, academics, technologists, physicians, or other advisors selected by GE will evaluate Entries to determine which Entries will receive cash awards as described below. Entries will be judged on merit; proper reliance on science and engineering fundamentals; innovative character; potential to create significant societal impact; commercial feasibility in light of applicable market dynamics; and other factors as listed on the Event Website for a specific Sub-Challenge.
The Committee may consider input from the Judges as part of its evaluation of Entries. Any Entries selected by the Committee will be contacted directly by the Committee to initiate discussions and negotiations as the Committee deems appropriate based on the content of the Entry. The Judges and the Committee will evaluate each Entry based on the Judging Criteria set forth on the Event Website for the applicable Sub-Challenge. GE reserves the right to request further information from you regarding your Entry.
- LIMITATION OF LIABILITY: By participating in the Event, you agree to release, indemnify and hold harmless GE, each of the Judges and members of the Committee, and their respective affiliates, subsidiaries, advertising and promotions agencies, as applicable, and each of their respective agents, representatives, officers, directors, shareholders, and employees (collectively, “Sponsor Entities”) from and against any injuries, losses, damages, claims, actions and any liability of any kind resulting from or arising out of your participation in or association with the Event. Sponsor Entities are not responsible for any miscommunications such as technical failures related to computer, telephone, cable, and unavailable network or server connections, related technical failures, or other failures related to hardware, software or virus, or incomplete, late or misdirected entries. Any compromise to the fair and proper conduct of this Event may result in the disqualification of an Entry, termination of the Event, or other remedial action, at the sole discretion of GE.
- 10. AWARDS: For each Sub-Challenge, GE will announce via the Event Website a list of Entries, if any, with whom GE intends to pursue commercial relationships. Among Entries submitted to all Sub-Challenges, GE hopes to identify Entries where reasonable business prudence will justify a total capital investment of up to $100 million by GE and its investment partners. But GE does not represent or guarantee that a specific amount will be invested in Entries received for a particular Sub-Challenge, or that the total amount invested in Entries from all Sub-Challenges will reach the total stated goal of $100 million. Each such list will be made public within a reasonable time--generally within one calendar quarter--after the end of the Entry Period for that Sub-Challenge.
For each Sub-Challenge, GE will announce via the Event Website a list of Entries, if any, to whom the Judges have made a cash Seed award. The minimum number and amount of the cash Seed awards that will be awarded for each Sub-Challenge will be set forth as part of the announcement of that Sub-Challenge on the Event Website. Awards will be made based on an Entry’s compliance with the Judging Criteria for the applicable Sub-Challenge. After verification of eligibility, cash Seed awards will be distributed to the official representative specified in the winning entry. That official representative is solely responsible for further distribution of any cash award among participants in a group Entry or within a company that has submitted an Entry through that representative. Each list of Entries receiving cash Seed awards for a particular Sub-Challenge will be made public within a reasonable time--generally within one calendar quarter--after the end of the Entry Period for that Sub-Challenge. Judges may also decide to award to one or more entrant a GE Scientific Merit Award to work with a GE research center.
- NO OBLIGATION: You acknowledge that multiple participants may submit Entries that contain concepts or technologies similar to your Entry and that GE, its subsidiaries and business partners may already be investigating or developing technical solutions or business activities that are related or similar to those that you disclose in your Entry. You acknowledge and agree that GE’s action with respect to another Entry, even if similar to your Entry, shall not create in GE any liability to you or others. Further, GE is not and shall not be restricted in any way from pursuing, developing, or commercializing, in any way that GE sees fit, independent of you and at GE’s sole discretion, any technology that is created independent of your Entry. For the avoidance of doubt, you acknowledge that GE is not obligated to take any action whatsoever with regard to your Entry.
- WAIVER: By entering the Event, you waive all rights to seek injunctive or equitable relief, or to claim punitive, incidental or consequential damages, or attorneys’ fees.
- LAW: You agree that these terms and the relationship between you and GE shall be governed by the laws of the United States and the State of New York.
